中国坠海CCCEUcommentsontheEuropeanCommissionsIn-depthInvestigationunderFSRintoJD.comsProposedAcquisitionofCECONOMY28May2026,BrusselsTheChinaChamberofCommercetotheEU(CCCEU)notestheEuropeanCommissionsannouncementon28May2026toopenanin-depthinvestigationundertheForeignSubsidiesRegulation(FSR)intoJD.comsproposedacquisitionofCECONOMY.ThismarksthefirsttimeaChineseacquisitionhasbeensubjecttoaPhaseIIinvestigationunderthenewFSR.Weattachgreatimportancetothisdevelopmentandhopethattheprocedureswilladheretolegalcertainty,proportionality,andnon-discriminationprinciples.TheCCCEUnotesthatoneofthekeyfocusesoftheinvestigationistheassessmentofwhetherallegedforeignsubsidiesmayaffectboththetransactionprocessandpost-transactionmarketcompetition.Inthisregard,webelievethatanyanalysismustbestrictlybasedonverifiablefactsandclearlegalstandards,andshouldnotgeneralisenormalcorporatefinancingcapacity,market-drivenoperationalefficiency,orcompetitiveadvantagesarisingfrominnovationandsupplychaincapabilitiesasso-calledmarketdistortions.TheCommissionhasindicatedthatitwillexaminewhethersubsidiescontributedtoahigheracquisitionprice.TheChamberconsidersthatpricepremiumsarecommoninmergerandacquisitionpractice,astransactionpricesaredrivenbymultiplemarketfactors,includingexpectedsynergies,technologicalintegrationvalue,andlong-termgrowthexpectations.Inassessingtheimpactofsubsidies,theuseofahighprice幸福之路asanindicatorshouldbeapproachedwithcaution.Conclusionsshouldnotbedrawnsolelyfromoutcomes,andaclearcausalrelationshipshouldbeestablishedonthebasisofsufficientevidence.TheCCCEUhaslongexpressedseriousconcernsregardingcertainstructuralissuesintheimplementationoftheFSR,includingtheoverlybroadscopeofforeignfinancialcontributiondefinitions,animbalanceintheburdenofproof,highcompliancecostsforenterprises,andissuesrelatedtoextraterritorialapplicationandresultinglegalconflicts.Earlier,ChinasMinistryofCommerceconcludedinJanuary2025thatcertainEUpracticesundertheFSRconstitutebarrierstotradeandinvestmentandcalledforcorrectivemeasures.InMay2026,ChinasMinistryofJustice(MOJ),pursuanttotheRegulationsofthePeoplesRepublicofChinaonCounteringForeignStatesUnlawfulExtraterritorialJurisdiction,determinedthattheEUscross-borderinvestigativemeasurestargetingtheChinesesecurityfirmNuctechundertheFSRconstituteimproperextraterritorialjurisdiction.Againstthebackdropofincreasingglobalregulatorydensity,theChamberbelievesthatitisimportanttoensurethatrelevantmeasuresremainconsistentwithinternationallawandestablishedjurisdictionalprinciplessoastoavoidunintendedextraterritorialeffectsandresultinguncertaintyforcross-borderbusinessactivitiesandinternationalinvestment.WealsocallontheEUsidetotakeanobjectiveviewofthecompetitiveadvantagesarisingfromtheefficiencyimprovementsofChineseenterprises.Suchcompetitiveness,formedthroughtechnologicalcapability,logisticssystems,andoperationalefficiency,isfundamentallydrivenbymarketforces.Thisisparticularlyevidentinhighlycompetitiveandrapidlyevolvingsectorssuchase-commerce.Inrelevantassessments,suchadvantagesshouldbeproperlydistinguishedandobjectivelyconsidered,toavoidaregulatoryapproachthatgraduallyshiftsfromcorrectingmarketdistortionstowardsover-interpretingnormalcompetitiveoutcomes.Inthecontextofrisingglobaleconomicuncertaintyandincreasingcomplexityincross-borderinvestment,policystabilityandpredictabilityhavebecomekeydeterminantsofmarketconfidence.Inrecentyears,ChineseenterpriseshavecontinuedtoexpandinvestmentinEurope,contributingtoEuropesdigitaltransformation,greendevelopment,andconsumermarketvitalitythroughlocalisation,technologicalinnovation,supplychaindevelopment,andjobcreation.Asanormalpracticeinmarketeconomies,mergersandacquisitionsshouldbeassessedwithinastable,transparent,andrules-basedframework.AtatimewhenChina-EUeconomicrelationsareatanimportantstageofdevelopment,maintaininganopen,fair,transparent,andnon-discriminatorybusinessenvironmentservesthecommoninterestsofbothsides.TheCCCEUwillcontinuetocloselyfollowthedevelopmentofthecaseandstandsreadytomaintainconstructiveengagementwithrelevantstakeholderstopromotethestableandsustainabledevelopmentofChina-EUtradeandinvestmentrelations.来源：欧盟中国商会。
